1. Acceptance of Terms

By downloading, installing, or using ChatAxis ("the Application", "the Software", "we", "us", or "our"), you ("User", "you", or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Application.

2. Description of Service

ChatAxis is a desktop application that serves as a unified sidebar launcher for popular Large Language Model (LLM) applications and AI providers. The Application provides:

• Quick access to multiple AI service providers (ChatGPT, Claude, Grok, Gemini, Perplexity, Mistral)
• Command palette functionality for efficient navigation and quick actions
• Prompt template management and organization with variable support
• Broadcasting capabilities to send prompts to multiple AI providers simultaneously
• Firebase-based authentication and secure user account management
• Cloud synchronization of prompt templates across devices
• Real-time provider configuration updates from backend services
• Modern UI with dark/light theme support and smooth transitions
• Auto-update functionality to stay current with latest features

3. License and Usage Rights

3.1 License Grant

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use ChatAxis for personal or commercial purposes in accordance with these Terms.

3.2 Restrictions

You agree not to:

• Reverse engineer, decompile, or disassemble the Application
• Modify, adapt, or create derivative works based on the Application
• Distribute, sell, lease, or sublicense the Application
• Use the Application for illegal or unauthorized purposes
• Attempt to gain unauthorized access to our systems or networks

4. Third-Party Services

ChatAxis integrates with various third-party services and AI providers. Your use of these services through our Application is subject to their respective terms of service and privacy policies. We are not responsible for the availability, content, or policies of these third-party services.

4.1 AI Service Providers

ChatAxis connects to various AI service providers including OpenAI (ChatGPT), Anthropic (Claude), xAI (Grok), Google (Gemini), Perplexity, and Mistral. When you use these services:

• Your interactions are governed by their respective terms of service and privacy policies
• We do not intercept, store, or analyze your conversations with these providers
• Authentication is handled directly between you and the service provider
• We recommend reviewing each provider's terms of service and privacy policy

4.2 Firebase Backend Services

ChatAxis uses Firebase services for authentication, template storage, and provider configuration management:

• Firebase Authentication: Secure Google OAuth sign-in and user account management
• Firebase Functions: Backend API for template synchronization and provider configuration
• Firebase Analytics: Optional usage analytics to improve the application (opt-in only)

Your use of Firebase services is subject to Google's Terms of Service and Privacy Policy. We do not have access to your Firebase account credentials or personal data stored in Firebase beyond what is necessary for the Application's functionality.

5. User Data and Privacy

We respect your privacy and handle your data in accordance with our Privacy Policy. By using ChatAxis, you acknowledge that:

• The Application stores your preferences, prompt templates, and authentication tokens locally on your device
• Custom prompt templates are synchronized with our Firebase backend for cross-device access
• We do not have access to your conversations with AI providers
• Authentication data is managed securely through Firebase Authentication
• Provider configurations are fetched from our backend API but cached locally for offline use
• No personal data is transmitted to our servers without your explicit consent
• Analytics data is collected only if you opt-in and is used solely to improve the application

6. User Responsibilities and Age Verification

6.1 Age Requirements

You must be at least 18 years old to use ChatAxis. If you are under 18, you may only use ChatAxis with the supervision and consent of a parent or legal guardian.

6.2 User Responsibilities

You agree to:

• Use ChatAxis only for lawful purposes and in accordance with these Terms
• Not attempt to circumvent any security measures or access controls
• Not use ChatAxis to generate illegal, harmful, or inappropriate content
• Respect the intellectual property rights of others
• Not impersonate any person or entity or misrepresent your affiliation
• Maintain the confidentiality of your account credentials
• Report any security vulnerabilities or suspicious activity to us

6.3 Prohibited Uses

You may not use ChatAxis to:

• Generate content that violates any applicable laws or regulations
• Create or distribute malware, viruses, or other harmful code
• Engage in harassment, abuse, or threatening behavior
• Violate the terms of service of any third-party AI providers
• Attempt to reverse engineer or modify the Application
• Use automated systems to access ChatAxis without permission

7. Intellectual Property

ChatAxis and all related intellectual property rights are owned by us or our licensors. This includes but is not limited to:

• Software code and architecture
• User interface design and graphics
• Trademarks, logos, and branding
• Documentation and help materials

7. Disclaimers and Limitations

7.1 "AS IS" Basis

ChatAxis is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

7.2 AI-Generated Content Disclaimer

7.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MASTER EXPERIENCE LLC SHALL NOT BE LIABLE FOR ANY:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, data, business opportunities, or goodwill
• Damages arising from AI-generated content or third-party services
• Security breaches or unauthorized access to your data
• Service interruptions or technical failures
• Any damages exceeding the amount paid by you for the service (currently $0)

7.4 Third-Party Content and Services

We are not responsible for the accuracy, reliability, availability, or legality of content provided by third-party AI services, news sources, or any other external services accessed through ChatAxis. Your use of third-party services is at your own risk and subject to their respective terms and policies.

8. Updates and Modifications

We reserve the right to:

• Update or modify the Application at any time
• Change these Terms of Service with reasonable notice
• Discontinue or modify features of the Application
• Require updates for continued use of the Application

9. Termination

These Terms remain in effect until terminated. We may terminate or suspend your access to ChatAxis immediately, without prior notice, if you breach these Terms. Upon termination, you must cease all use of the Application and delete all copies from your devices.

10. Copyright and DMCA Compliance

10.1 Copyright Protection

ChatAxis and all related materials are protected by copyright and other intellectual property laws. You may not reproduce, distribute, or create derivative works without our express written permission.

10.2 DMCA Notice and Takedown

If you believe that content accessible through ChatAxis infringes your copyright, you may submit a DMCA takedown notice to our designated agent:

Your notice must include: (1) identification of the copyrighted work; (2) identification of the infringing material; (3) your contact information; (4) a statement of good faith belief; and (5) a statement of accuracy under penalty of perjury.

11. Open Source Components

ChatAxis may include open source software components. Such components are governed by their respective open source licenses, which are incorporated herein by reference. In the event of a conflict between these Terms and any open source license, the open source license shall prevail with respect to that component.

12. Governing Law and Dispute Resolution

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts in Delaware.

12.2 Dispute Resolution

Before filing any formal legal proceedings, you agree to first contact us at hello@getchataxis.com to attempt to resolve any disputes informally. If informal resolution is not successful, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that:

• Either party may seek injunctive relief in court to prevent irreparable harm
• Small claims court actions are not subject to arbitration
• Class action waivers apply to the maximum extent permitted by law

13. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

13. Entire Agreement

These Terms constitute the entire agreement between you and us regarding the use of ChatAxis and supersede all prior and contemporaneous agreements, proposals, or representations, written or oral, concerning its subject matter.
